外商投资有限公司设立 （台港澳独资）

一、公司类型定义境外投资主体投资设立。

二、设立条件
1）有符合登记要求的投资者；
2）有符合登记要求的经营场所；
3）注册资本达到法定资本的最低限额：

商品贸易，注册资本最低人民币 50 万元; 管理咨询，注册资本最低人民币 10 万元；

生产经营，注册资本最低人民币 100 万元; 商品贸易，注册资本最低人民币　50 万元；

一般服务，注册资本最低人民币 100 万元; 货运代理，注册资本最低人民币 50 万元；　

产品开发，注册资本最低人民币 100 万元; 生产经营，注册资本最低人民币 100 万元；

餐饮服务，注册资本最低人民币 100 万元; 餐饮服务，注册资本最低人民币 100 万元；　　　　　　　　　　　　

合资广告，注册资本最低人民币 100 万元; 独资广告，注册资本最低人民币 100 万元；

货运代理，注册资本最低人民币 100 万元; 货物仓储，注册资本最低人民币 300 万元；　　　　　　　　　　

保税贸易，注册资本最低美　元 30 万元; 道路货运，注册资本最低人民币 300 万元；

三、需提供材料及其要求
1:投资者主体资格材料：

= = = 经所在国家公证机关公证并经我国驻该国使（领）馆认证的外国投资者的（公司）注册登记证明或（自然人）身份证明文件（原件1份），香港、澳门或台湾地区投资者提供经当地公证机构公证的（公司）注册登记证明或（自然人）身份证明文件（原件1份）；

2:深圳独资公司经营场所的房地产租赁合同书原件2份，4点要求：
A:以股东之一姓名租用;
B:面积与申报的经营规模一致;
C:用途与申报的营业范转一致;
D:该租赁合同须经房屋租赁管理所登记（盖合同登记专用章.）
3、深圳公司董事、监事、经理身份证、台胞证，法定代表人二寸彩照1张。

1：生产型：20个工作天完成（环保等前置许可批准后起计）。

七、出资期限
不分期一次性缴足注册资本的，在公司设立日起6个月内一次性缴清；
分期缴足注册资本的，按下列期限投入：
注册资本50万美元以下的，自公司设立起12个月内缴足（首期应在3个月内投入，且不低于注册资本的15%）;
注册资本在50万美元以上100万美元以下的，自公司设立起18个月内缴足（首期15%以上应在3个月内投入）;
注册资本100万美元以上300万美元以下的，自公司设立起24个月内缴足（首期15%以上应在3个月内投入）;
注册资本300万美元以上1000万美元以下的，自公司设立起36个月内缴足（首期15%以上应在3个月内投入）;
注册资本在1000万美元以上的，由审批机关视实际情况审批。

八、证照年检
外商投资公司实行年检制度。企业应在每年3月1日至6月30日止向七个部门申办联合年检手续。
注：前置许可
根据（外商投资产业指导目录））项下列为限制外商投资类项目及根据深圳市人民政府134号令（（关于发布深圳市行政审批事项清理结果的决定））所列必须先进行前置许可后才准予设立登记的项目。涉及前置许可的项目一般指：股份公司设立，电力供应，煤炭矿产资源开采生产经营，食盐生产批发，道路货运及客运，车辆维修及报废回收，国际海运及水路运输，航空运输，加油站及成品油批发、零售，医疗机构及器械，药品药具，安技防工程及产品，书报杂志，基础电信，人才中介及职业介绍，农药兽药，印刷，互联上网服务，食品及酒类生产，餐饮娱乐，拍卖，典当，出版业及音像制品，保险，银行，证券，建筑，会计，办学，法律服务，军工及武器装备，易燃易爆及剧毒放射物品，危化品及危险废物，旅行社，出国中介服务等项目。

Seven, the investment period
Not staging a one-time payment of the registered capital of the company, in 6 months after the establishment of a one-time payment;
To pay the registered capital of the full term, as the following term is put into:
Registered capital of  RMB 500000 yuan , since the company set up within 12 months to pay enough (the first phase should be within 3 months, and not less than 15% of the registered capital);
Registered capital of RMB 1000000 yuan or more of the following 500000 yuan, since the company set up within 18 months to pay enough (the first phase of 15% should be within 3 months);
Registered capital of RMB 3000000 yuan or more of the following 1000000 yuan, since the company set up within 24 months to pay enough (the first phase of more than 15% should be within 3 months);
Registered capital of RMB 10000000 yuan or more of the following 3000000 yuan, since the company set up within 36 months to pay enough (the first phase of more than 15% should be within 3 months);
Registered capital of RMB 10000000 yuan or more, by the examination and approval authorities as the actual situation for approval.
